Belarus recognises three main ways to conduct business as an individual. Each comes with different levels of liability, taxation and administrative burden.

self-employed individual (самозанятый) is the simplest form — no registration required, but activity is strictly limited to a narrow list of permitted services and personal income tax applies to all earnings.

An individual entrepreneur (IE) operates under their own name without forming a separate legal entity. The owner bears unlimited personal liability — meaning personal assets can be used to satisfy business debts. Suitable for very small, low-risk operations.

legal entity (LLC, CJSC, etc.) is a separate legal person distinct from its founders. Founders’ liability is limited to their contribution to the authorised capital. This is the standard choice for foreign investors, IT companies and any business expecting growth, contracts with international partners or HTP registration.

For most foreign founders, a legal entity — specifically an LLC — is the correct structure.

Who Cannot Register a Legal Entity in Belarus

Involved in Active Liquidation

A person who is currently a co-owner of a company undergoing liquidation cannot found a new legal entity until the liquidation process is formally completed.

Associated with Bankruptcy

Founders and directors of a company that was liquidated due to bankruptcy face restrictions on registering new entities for a defined period after the bankruptcy proceedings.

Outstanding Debts

Individuals with unresolved financial obligations to creditors or counterparties may be restricted from registering a new legal entity until the debts are settled.

Financial Crimes

Persons convicted of financial crimes — including fraud, embezzlement or tax evasion — cannot act as founders or directors of a legal entity during the period established by their sentence.

State Debts

Former managers and founders of companies that owed debts to the state budget face restrictions on registering new entities for a defined period after the debt arose.
