What is an LLC?

An LLC (Limited Liability Company / ООО) is the most common form of legal entity in Belarus. It can be founded by 1 to 50 participants — individuals or legal entities from any country. Founders are liable only to the extent of their contribution to the authorised capital, which means personal assets are protected from business debts.

An LLC in Belarus has no minimum authorised capital requirement, can operate under the simplified taxation system, and is eligible for HTP resident status if it engages in qualifying IT activities. Which foreigners can register a company in Belarus?

Any individual or legal entity from any country can found an LLC in Belarus. There are no nationality restrictions on founders or directors. Foreign founders typically act through a local representative by power of attorney — we prepare all required documents including notarised copies of identity documents and the power of attorney itself.

A foreign citizen who serves as director remotely does not need a work permit. A permit is required only if the director physically resides and works in Belarus on an ongoing basis.

What taxation systems are available for LLCs?

Taxation for LLCs in Belarus

Belarusian LLCs can choose between two taxation systems:

Simplified Taxation System (УСН) — a flat rate of 6% on gross revenue with no VAT. Available to companies with annual revenue below approximately $2.15M and no more than 130 employees. This is the most common choice for small and medium-sized businesses.

General Taxation System — profit tax at 20% plus VAT at 20% on applicable turnover. Used by larger companies or those that do not qualify for the simplified system.

LLCs that obtain HTP resident status operate under a separate preferential regime — income tax at 9%, VAT exemption on IT services, and reduced personal income tax for employees.

Business Terms for a Limited Liability Company (LLC)

Founders

An LLC can be founded by 1 to 50 participants — individuals or legal entities from any country. There are no nationality restrictions.

Legal Address

Every LLC must have a registered legal address in Belarus. This can be a physical office, non-residential premises or a registered address provided by a legal services firm.

Taxation

LLCs can choose between the simplified system (6% on revenue, no VAT) or the general system (20% profit tax + 20% VAT). HTP residents operate under a separate preferential regime.

Authorized Capital

There is no minimum authorised capital requirement for an LLC in Belarus. The capital can be as low as 1 Belarusian ruble and must be paid within 12 months of registration.

Employee Hiring

An LLC can hire employees from its first day of operation. Employment contracts must comply with the Belarusian Labour Code.

Liability

Founders are liable only to the extent of their contribution to the authorised capital. Personal assets are not at risk for company debts.

Individuals

Both Belarusian citizens and foreign nationals from any country can be founders of an LLC. No minimum age beyond legal capacity is required.

Legal Entities

Foreign and domestic companies — LLCs, JSCs and other legal entities — can act as founders of a new Belarusian LLC.

Government Bodies

State-owned enterprises and government bodies may participate as founders in certain cases, subject to specific legislative requirements.
