An LLC (Limited Liability Company / ООО) is the most common form of legal entity in Belarus. It can be founded by 1 to 50 participants — individuals or legal entities from any country. Founders are liable only to the extent of their contribution to the authorised capital, which means personal assets are protected from business debts.
An LLC in Belarus has no minimum authorised capital requirement, can operate under the simplified taxation system, and is eligible for HTP resident status if it engages in qualifying IT activities. It is the standard choice for foreign investors, trading companies and service businesses entering the Belarusian market.

Which foreigners can register a company in Belarus?
Any individual or legal entity from any country can found an LLC in Belarus. There are no nationality restrictions on founders or directors. Foreign founders typically act through a local representative by power of attorney — we prepare all required documents including notarised copies of identity documents and the power of attorney itself.
A foreign citizen who serves as director remotely does not need a work permit. A permit is required only if the director physically resides and works in Belarus on an ongoing basis.
What taxation systems are available for LLCs?
Taxation for LLCs in Belarus
Belarusian LLCs can choose between two taxation systems:
Simplified Taxation System (УСН) — a flat rate of 6% on gross revenue with no VAT. Available to companies with annual revenue below approximately $2.15M and no more than 130 employees. This is the most common choice for small and medium-sized businesses.
General Taxation System — profit tax at 20% plus VAT at 20% on applicable turnover. Used by larger companies or those that do not qualify for the simplified system.
LLCs that obtain HTP resident status operate under a separate preferential regime — income tax at 9%, VAT exemption on IT services, and reduced personal income tax for employees.

Foreign founders enjoy the same rights as Belarusian founders — full ownership, profit repatriation rights and access to all available taxation systems including the simplified 6% regime. IT companies can additionally apply for HTP resident status with its preferential tax conditions.
