Self-employed individuals and individual entrepreneurs carry unlimited personal liability — meaning your personal assets are at risk if the business faces debts or lawsuits. These structures work for very small, low-risk operations but offer little protection for serious business activity.
A legal entity — most commonly an LLC — creates a clear legal separation between you and your company. Your personal finances are protected, the company can hire staff, sign contracts, open bank accounts, and access a wider range of tax regimes. For foreign investors, a legal entity also provides more credibility with local partners and banks.
Note: if a foreign legal entity holds more than 25% of shares, the company cannot use the Simplified Taxation System (STS). Our team advises on the optimal ownership structure before registration.

Which Foreigners Can Register a Company in Belarus?
Any foreign individual aged 18 or above, or any foreign legal entity in good standing, can register a company in Belarus. There are no restrictions based on nationality.
Documents required depend on whether the founder is an individual or a company:
For individual founders: a notarized translation of your passport into Russian or Belarusian. If you hold a Belarusian residence permit, a copy of the permit is sufficient.
For corporate founders: a legalized extract from your country’s commercial register (issued within the past year) with a notarized translation. Legalization method depends on your country — apostille for EU and US, consular legalization for some others, no legalization required for Russian documents.

Individual Entrepreneur (IE)
A simple sole-trader structure with no share capital requirement. Note: registration of new IEs ended in October 2024 — existing IEs must transition to a legal entity by January 2026.
Private Unitary Enterprise (PUE)
Owned by a single individual or legal entity. Offers limited liability. Can be registered at a residential address — useful for small operations. Less flexible than LLC for multi-founder structures.
Limited Liability Company (LLC)
The most popular structure for foreign investors. No minimum share capital. Flexible management, limited liability for shareholders. Can be registered with a single foreign founder.
Additional Liability Company (ALC)
Similar to LLC but shareholders carry subsidiary liability for company obligations — providing stronger protection for creditors. Rarely chosen by foreign investors.
Open Joint Stock Company (OJSC)
Shares can be freely traded on the open market. Minimum share capital: approx. €4,600. Suitable for larger businesses planning to raise capital publicly.
Closed Joint Stock Company (CJSC)
Shares restricted to a defined group (founders, employees). Minimum share capital: approx. €1,150. Chosen when founders want to keep ownership information private.

Both individuals and legal entities — Belarusian and foreign — can be founders of a company in Belarus. A Belarusian citizen, a foreign national, a foreign company, or a mix of founders can all establish a legal entity together.

Foreign directors from EAEU countries (Russia, Kazakhstan, Armenia, Kyrgyzstan) do not need a work permit.
