Company Registration in Belarus: Full Legal Support
Registering a company in Belarus as a foreign investor involves navigating Belarusian corporate law, document legalization requirements, and government registration procedures. One mistake in the paperwork can delay your launch by weeks.
AMBY Legal handles the entire process for you — from name approval and charter drafting to state registration, corporate seal, and bank account opening. You stay focused on your business; we take care of everything else.
Registration can be completed within 1–2 business days. Documents can be submitted on your behalf via a notarized power of attorney — no need to travel to Belarus.
Business Structures in Belarus for Foreign Investors
Choosing the right business structure is the first decision every foreign investor faces. In Belarus, the main options are: operating as a self-employed individual, registering as an individual entrepreneur (IE), or incorporating a legal entity.
Self-employed individuals and individual entrepreneurs carry unlimited personal liability — meaning your personal assets are at risk if the business faces debts or lawsuits. These structures work for very small, low-risk operations but offer little protection for serious business activity.
A legal entity — most commonly an LLC — creates a clear legal separation between you and your company. Your personal finances are protected, the company can hire staff, sign contracts, open bank accounts, and access a wider range of tax regimes. For foreign investors, a legal entity also provides more credibility with local partners and banks.
Note: if a foreign legal entity holds more than 25% of shares, the company cannot use the Simplified Taxation System (STS). Our team advises on the optimal ownership structure before registration.

Which Foreigners Can Register a Company in Belarus?
Any foreign individual aged 18 or above, or any foreign legal entity in good standing, can register a company in Belarus. There are no restrictions based on nationality.
Documents required depend on whether the founder is an individual or a company:
For individual founders: a notarized translation of your passport into Russian or Belarusian. If you hold a Belarusian residence permit, a copy of the permit is sufficient.
For corporate founders: a legalized extract from your country’s commercial register (issued within the past year) with a notarized translation. Legalization method depends on your country — apostille for EU and US, consular legalization for some others, no legalization required for Russian documents.
Registration can be done in person or remotely through a notarized power of attorney issued to our advocates.

Foreign Founders in Belarus: Rights and Requirements?
Both individuals and legal entities — Belarusian and foreign — can be founders of a company in Belarus. A Belarusian citizen, a foreign national, a foreign company, or a mix of founders can all establish a legal entity together.
One key restriction: a company with a single founder cannot itself be a company with a single founder. If your foreign holding company is a sole-owner entity, it cannot be the sole shareholder of a Belarusian LLC. Our team will help you structure ownership correctly to avoid this issue.

However, from the moment the business is registered, […]
Liquidation of an LLC (limited liability companies) in the presence of debts is one of the most complex and delicate procedures in corporate practice. Unlike “net” liquidation, when the company has no obligations to counterparties, the state budget or employees, the presence of outstanding liabilities significantly limits the choice of available mechanisms for the termination […]
